Dana Is Leading Independent Supplier To Global Off-Highway Manufacturers With Acquisition Of Clark-Hurth's Worldwide Operations

    TOLEDO, Ohio, Feb. 14 /PRNewswire/ -- Dana Corporation (NYSE: DCN) today
acquired the global assets of Clark-Hurth Components, a worldwide manufacturer
of off-highway vehicle and equipment components, from Ingersoll-Rand Company.
    The announcement marks Dana's second major acquisition in the past week --
following its purchase of SPX Corporation's Sealed Power Division units -- and
represents the single largest transaction in the company's 93-year history.
Specific terms of the agreement were not released.
    "This acquisition makes Dana the world's leading supplier of off-highway
drivetrain components," said Dana Chairman Southwood J. Morcott.  "And with
60 percent of Clark-Hurth's sales coming outside North America, we're not just
expanding our product offering, we're expanding our global presence."
    Clark-Hurth's five manufacturing operations in Belgium, Italy and the
United States had combined 1996 sales of more than $350 million.  Its
principal products include axles and brakes, and powershift transmissions for
the original equipment and replacement markets.  These components are
primarily used in construction, material handling, mining and forestry
equipment.
    According to Dana Group President Nick Cole, the acquisition expands the
company's technological leadership in off-highway applications.

ability to offer modular systems to off-highway equipment manufacturers
worldwide.
