Dana Responds to ArvinMeritor Announcement

    TOLEDO, Ohio, July 8 /PRNewswire-FirstCall/ -- Dana Corporation
(NYSE: DCN) issued the following statement today, in response to the
announcement by ArvinMeritor, Inc. (NYSE: ARM) that it plans to commence a
tender offer for outstanding Dana shares.  ArvinMeritor's offer will be
evaluated by the Board of Directors of Dana.  Within ten business days from
the date of commencement of ArvinMeritor's tender offer, Dana will advise Dana
shareholders of its position regarding the offer, and state its reasons for
